Friends of Mission Trail Nature Preserve (FOMTNP) Founding Documents

NOTE: Friends of Mission Trail Nature Preserve ("FOMTNP") was formed in 2009, and was formally incorporated in December, 2013 as a non-profit corporation. It became an official support group of the City in 2014. The purpose of the FOMTNP is to support the City in implementing the Mission Trail Nature Preserve Master Plan, including the removal of invasive flora. Since 2009, FOMTNP has, among other works, conducted, on a regular basis (now on the second Saturday on each month), work parties in the Preserve resulting in thousands of volunteer hours of work, removing invasive plants from the Preserve by hand and performing other light maintenance. The FOMTNP Board of Directors held a series of workshops in 2013, which resulted in the preparation of a "Blue Book, which FOMTNP published in October 2013 and has been distributed to members of the Forest and Beach Commission, the City Council and City staff. The "Blue Book" identifies various operational and capital improvements to be made within the Preserve. FOMTP consists of its Directors: Francis ("Skip") Lloyd (President); Greg D'Ambrosio (Vice-President); Lucinda lloyd (Secretary); Marsha Zelus (Treasurer); Gary Girard; Joyce Stevens; Randell Bishop; and Mary Anne Lloyd and its Advisors of Bill Doolittle; Roy Gustaveson and Susan Kiley.

ARTICLES OF INCORPORATION OF FRIENDS OF MISSION TRAIL NATURE PRESERVE

ARTICLE II
PURPOSE OF CORPORATION

B. The specific purpose of this corporation shall be to support Mission Trail Nature Preserve, a public park owned by the City of Carmel-by-the-Sea, California, and to carry on other charitable activities associated with this goal as allowed by law.

D. This corporation is formed, and shall be operated, exclusively to support the parks owned by the City of Carmel-by-the-Sea, California.

ARTICLE 2
OBJECTIVES AND PURPOSES

This Corporation has been formed under the California Nonprofit Public Benefit Corporation Law for the purposes stated in the Articles of Incorporation to support the Mission Trail Nature Preserve, a public park of the City of Carmel-by-the-Sea, California.

Part IV. Narrative Description of Activities:

Present:
FOMTNP has just been incorporated and has not commenced any activities except to hold initial meetings of its board of directors, discuss future plans, and conduct a one-half day work party performing trail improvement in and removal of some invasive plant species from the Preserve.

Planned:
In the future, FOMTNP intends to develop a list of projects to be performed in the Preserve to carry out the purposes established in the Mission Trail Nature Preserve Master Plan, a master plan which has been adopted by the City Council of the City of Carmel-by-the-Sea ("Carmel"). Plans will be presented to the appropriate City administrators for approval. These plans will assist the City in adopting projects as part of a systematic program of implementing the master plan. Plans will be adopted at the administrative level of the City and will not involve legislative action by the City, as the City has adopted the master plan, which is to be carried out under the direction of its administrative staff.

Pursuant to approved City projects, FOMTNP itself will conduct such on site physical work in the Preserve as is within its own capabilities, to be carried out by volunteers organized by FOMTNP. In addition, FOMTNP will support projects to be carried out by the City itself.

FOMTNP will conduct fund raising in order to raise funds for its own minimal internal budget. Beyond that, fund raising will be conducted in order to raise funds which will be turned over to the City of Carmel to assist it in paying the costs of specific projects, for which the City may not have sufficient funds to perform, which are beyond the capability of volunteers to perform, and which the City wishes to pursue in order to carry out the mandates of the master plan.

FOMTNP will assist the City of Carmel in obtaining grants for projects to be performed by the City in carrying out the master plan.
Question 5.

The only affiliation of FOMTNP is with the City of Carmel. FOMTNP has been recognized as a support group of the City of Carmel by action of the City Council of that City. Regarding the nature of this affiliation, see the City's support group policy which is attached to this application. Pursuant to the action of the City Council, FOMTNP's status as an official support group of the City was established by the filing of FOMTNP"s bylaws with the City on January 14, 2013 (see file stamp of City on copy of bylaws submitted herewith.)
